1. Agreement to Terms
By engaging Shoplift Studio (referred to as "the Team," "we," or "us") or using our website, you agree to be bound by these Terms of Service. These terms govern the relationship between our team and you (the "Client") regarding the design, development, and engineering of digital assets.
2. Service Scope & "Masterpiece" Standard
We provide high-velocity Shopify and WordPress development, conversion-first engineering, and brand architecture. While we strive for perfection in every build, the final result is a collaborative effort. We reserve the right to decline projects that do not align with our quality standards or technical capabilities.
3. Project Timelines & Content
Our delivery windows (typically 5–20 days) are contingent upon the Client providing all necessary content, credentials, and feedback in a timely manner. Delays in content delivery from the Client will result in an automatic extension of the project deadline.
4. Payment Terms & Milestone Logic
Unless otherwise agreed in writing, projects require a 50% upfront deposit to secure a slot in our production sprint. The remaining 50% is due upon project completion but before the final transfer of ownership or "handover." All deposits are non-refundable once work has officially commenced.
5. Intellectual Property
Upon receipt of full and final payment, the ownership of the website design and custom code will be transferred to the Client. However, Shoplift Studio retains the right to use the project in our portfolio, case studies, and marketing materials to showcase our "Masterpiece" builds.
6. E-commerce & Third-Party Disclaimer
We engineer the architecture, but we do not control third-party platforms. Shoplift Studio is not responsible for issues arising from Shopify/WordPress platform outages, third-party plugin failures, or changes in payment gateway policies. We build the "engine," but the Client is responsible for the "fuel" (marketing) and "driving" (management).
7. Limitation of Liability
In no event shall Shoplift Studio or its team members be liable for any loss of profits, data, or revenue resulting from the use of our services. We do not guarantee specific sales figures or conversion rates, as these depend on external market factors beyond the scope of web development.
8. Governing Law
These Terms shall be governed by the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes shall be resolved through direct negotiation between the Team and the Client.
